NON-CIRCUMVENTION AND PLATFORM FEES
By using the Catalyst Chess platform, you acknowledge that the Platform introduces Players and Businesses and provides tools to discover, negotiate, and execute opportunities (each, an "Opportunity").
1. No Circumvention
You agree not to circumvent, avoid, bypass, or otherwise bypass Catalyst Chess or its fee structure by directly or indirectly entering into, negotiating, or completing any transaction, agreement, or relationship with any person or entity that you first identified, discovered, or were introduced to through the Platform, outside of the Platform.
2. Covered Period
This obligation applies during your use of the Platform and for a period of twelve (12) months after your last interaction with a counterparty on the Platform.
3. Covered Transactions
Any agreement, engagement, or transaction between a Player and a Business that arises from, relates to, or is materially similar to an Opportunity discovered through the Platform will be considered a "Platform-Originated Transaction," regardless of whether it is executed on or off the Platform.
4. Platform Fees Owed
If you engage in a Platform-Originated Transaction outside of the Platform in violation of this section, you agree that Catalyst Chess is entitled to collect its standard service fee as if the transaction had been completed through the Platform. You agree to promptly report such transactions and pay all applicable fees.
5. Liquidated Damages
If you breach this section, you agree that actual damages may be difficult to determine. You therefore agree to pay liquidated damages equal to the greater of:
- (a) the total fees that would have been earned by Catalyst Chess for the transaction, or
- (b) $50
plus any reasonable costs of enforcement, to the extent permitted by applicable law.
6. Monitoring and Evidence
You acknowledge that Catalyst Chess may monitor activity and communications on the Platform and may use such records, along with any other lawful evidence, to investigate suspected circumvention.
7. Remedies
In addition to any other rights or remedies, Catalyst Chess may suspend or terminate accounts, withhold or offset payments, and restrict access to the Platform in the event of suspected or confirmed circumvention.
8. Survival
This section will continue to apply after your account is terminated or you stop using the Platform.
BUSINESS ACCOUNT CONDUCT AND ANTI-FRAUD POLICY
This section applies to all Business accounts using Catalyst Chess (the "Platform"). By creating or using a Business account, you agree to engage with Players in good faith and comply with all applicable laws and Platform policies.
1. Good Faith Engagement
Businesses must act honestly and transparently when interacting with Players. You agree not to misrepresent your identity, brand, intentions, budget, or the nature of any Opportunity.
2. No Fraudulent or Misleading Opportunities
You may not post or promote any Opportunity that is false, deceptive, exploitative, or lacks a genuine intent to compensate Players. All Opportunities must clearly state expected deliverables and compensation terms.
3. Payment Obligations
Businesses agree to honor all agreed-upon payments for completed deliverables. Failure to pay Players after satisfactory completion of agreed work is strictly prohibited.
4. No Off-Platform Exploitation
Businesses may not use the Platform to identify Players and then attempt to move transactions off-platform in order to avoid fees or oversight, or to exploit Players outside of Platform protections.
5. Clear Terms and Deliverables
Businesses must clearly define:
- Scope of work
- Deliverables
- Compensation structure
- Timeline
Ambiguous or intentionally vague agreements are not permitted.
6. No Abuse or Exploitation
Businesses may not exploit Players through unfair demands, excessive revisions, or unreasonable expectations that were not clearly disclosed upfront.
7. Compliance with Minor Protections
If engaging with Players under the age of 18, Businesses must comply with all Platform requirements regarding parental or guardian consent and may not attempt to bypass these protections.
8. Dispute Resolution Cooperation
Businesses agree to cooperate in good faith with any Platform-led dispute resolution process. Failure to respond or cooperate may result in penalties.
9. Monitoring and Enforcement
Catalyst Chess reserves the right to review Business activity, communications, and Opportunities to ensure compliance with this policy.
10. Remedies for Violations
If a Business is found to be in violation of this section, Catalyst Chess may take action including but not limited to:
- Removal of Opportunities
- Suspension or termination of the Business account
- Withholding or reversing payments where permitted
- Permanent ban from the Platform
11. Liability
Businesses are solely responsible for fulfilling all commitments made to Players. Catalyst Chess is not responsible for disputes arising from off-platform agreements or violations of these terms.
12. Survival
This section will continue to apply after your account is terminated or you stop using the Platform.
